Welcome to Lexie Writes! These Terms & Conditions govern your use of the website www.lexiewrites.com (the “Site”) and the copywriting services provided by Lexie Writes, LLC (“we,” “us,” or “our”). By accessing or using the Site or purchasing services from Lexie Writes, you agree to be bound by these Terms & Conditions. Please read them carefully.

1. Definitions

• Client: Any individual or entity that purchases or receives services from Lexie Writes.

• Content: Text, copy, deliverables, marketing materials, or other work product created by Lexie Writes on behalf of the Client.

• Services: Copywriting, editing, proofreading, and any related services offered by Lexie Writes, as described on the Site or in a separate service agreement.

• Agreement: The contract formed when the Client accepts these Terms & Conditions and any proposal or order confirmation.

2. Acceptance of Terms

2.1 By accessing the Site or placing an order for Services, you confirm that you have read, understood, and agree to these Terms & Conditions.

2.2 If you are entering into this Agreement on behalf of an entity, you represent that you have the authority to bind that entity to these Terms & Conditions.

3. Services & Deliverables

3.1 Scope of Work: The Services and deliverables will be defined in a separate proposal, statement of work, or order confirmation (the “Scope of Work”). Lexie Writes will perform Services in a professional and timely manner.

3.2 Revisions: Each package includes up to two rounds of revisions. Additional revision requests may incur extra fees at our standard hourly rate.

3.3 Turnaround Time: Estimated delivery dates will be provided in the Scope of Work. Delays caused by Client’s failure to provide materials or feedback may result in revised delivery dates.

4. Payment & Fees

4.1 Pricing: Fees for Services are as quoted in the proposal or order confirmation. All fees are in U.S. dollars.

4.2 Payment Terms: A deposit of 50% is due upon acceptance of the Scope of Work; the balance is due upon delivery of final Content. We accept payment via major credit card, PayPal, or bank transfer.

4.3 Late Payments: Unpaid balances not received within 15 days of the invoice date may accrue interest at 1.5% per month (or the maximum permitted by law) until paid.

4.4 Refunds & Cancellations: Because copywriting is a creative service, deposits are non‑refundable once work commences. If you cancel any Services before delivery, you remain responsible for the full project fee, less any portion of work not yet performed (at our discretion).

5. Intellectual Property

5.1 Ownership: Upon full payment, Lexie Writes assigns to the Client all rights, title, and interest in the final Content, excluding any third‑party materials or tools used under license.

5.2 Portfolio Rights: Lexie Writes retains the right to showcase redacted excerpts of the work in portfolios, marketing materials, or on the Site unless you specifically request confidentiality in writing.

6. Confidentiality

6.1 Both parties agree to maintain in confidence any non‑public information provided in connection with Services. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

7. Warranties & Disclaimers

7.1 Performance Warranty: We warrant that Services will be performed in a professional manner consistent with industry standards.

7.2 Disclaimer: Except as expressly provided herein, Lexie Writes disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

8. Limitation of Liability

8.1 In no event will Lexie Writes be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms & Conditions or the Services.

8.2 Our total aggregate liability for any claim arising under these Terms & Conditions will not exceed the total fees paid by the Client for the Services at issue.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lexie Writes and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms & Conditions or your use of the Services.

10. Governing Law & Dispute Resolution

10.1 These Terms & Conditions are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles.

10.2 Any dispute arising out of or relating to these Terms & Conditions will be resolved first through good‑faith negotiations. If unresolved within 30 days, the dispute will be submitted to binding arbitration in New Jersey under the rules of the American Arbitration Association.

11. Termination

11.1 Either party may terminate this Agreement if the other party materially breaches any term and fails to cure the breach within 14 days of written notice.

11.2 Upon termination, Client will pay for all Services performed up to the termination date and any non‑refundable deposits.

12. Miscellaneous

12.1 Amendments: We reserve the right to update these Terms & Conditions at any time. Changes will be effective upon posting to the Site. Your continued use after changes constitutes acceptance.

12.2 Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.

12.3 Entire Agreement: These Terms & Conditions and any referenced documents constitute the entire agreement between the parties regarding the Services.
